Allgemeine Geschäftsbedingungen (AGB)
General Terms of Service for Wegenty. This is a skeleton draft — clauses and all values marked like this are placeholders and must be completed and legally reviewed before production.
§ 1 Scope
These terms govern the contractual relationship between Wegenty GmbH (i. Gr.) (“Wegenty”, “we”) and its business customers (“Customer”) regarding the products and services described below. They apply to entrepreneurs within the meaning of § 14 BGB; we do not direct these terms at consumers. Conflicting or supplementary terms of the Customer do not apply unless we expressly agree to them in writing.
§ 2 Services
Wegenty provides a governed, sovereign-by-default local AI core for small and mid-sized enterprises — installed and run for the Customer, typically by a trusted local consultant. The exact scope of services follows from the respective order, product description or service agreement. The open-source core remains available under its own licence terms; commercial offerings add operation, support and the Cloud Shield compliance posture.
§ 3 Tiers & fees
Services are offered in tiers — Community, Professional and Enterprise — as described on our pricing page. Tier scope, fees, billing cycle and term are set out in the individual order. Prices are net, plus statutory VAT. At v0.1, tiers and prices are illustrative and not a binding offer.
§ 4 Customer obligations
The Customer is responsible for the lawful use of the service, for the content of its own knowledge bases, and for keeping access credentials confidential. The Customer ensures it holds the necessary rights to any data it ingests and complies with applicable data protection and AI regulation when operating the system.
§ 5 Compliance
Wegenty supports the Customer in operating the service in line with the DSGVO and the EU AI Act. The Customer acknowledges the regulatory timeline: GPAI obligations have been live since August 2025, the EU AI Act is fully applicable on 2 August 2026, and some high-risk (Annex III) duties phase in through 2027. Responsibility for the Customer’s own regulatory posture remains with the Customer; the Cloud Shield carries the live regulatory posture, audit trail and certification on our side.
§ 6 Availability & support
Service levels, availability targets and support response times follow from the agreed tier and any separate SLA. Insert concrete SLA figures per tier. Self-hosted Community deployments are operated by the Customer at its own responsibility.
§ 7 Liability
We are liable without limitation for intent and gross negligence, and for damage to life, body or health. For simple negligence, we are liable only for breach of a material contractual obligation (cardinal duty), and then limited to the foreseeable, contract-typical damage. Any further liability is excluded. The specific liability cap is set out in the order: liability cap, e.g. annual fees of the affected contract. Mandatory statutory liability, including under the Product Liability Act, remains unaffected.
§ 8 Term & termination
The term, notice periods and renewal of each engagement follow from the individual order. Insert default term and notice period. The right to terminate for good cause remains unaffected. Terminations must be in text form.
§ 9 Governing law & jurisdiction
These terms and all contracts based on them are governed by the law of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). The place of jurisdiction for all disputes with merchants is seat of Wegenty, to the extent legally permissible.
§ 10 Severability
Should individual provisions of these terms be or become invalid, the validity of the remaining provisions remains unaffected. The invalid provision is to be replaced by a valid one that comes closest to its economic intent.
